1. Subscription Agreement

By enrolling in any Done-With-You (DWY) service plan offered by BH Strategy, LLC dba Blackhat Strategy ("Company"), you ("Client") acknowledge and agree to enter into a legally binding subscription agreement. The subscription shall automatically renew on a monthly basis, with charges occurring on the same calendar day each month as the initial sign-up date, unless cancelled in accordance with Section 2 of this agreement.

2. Cancellation Policy

Client may cancel their subscription by providing the Company with no less than thirty (30) days’ written notice. Cancellation notices must be submitted to [email protected] and must include the client's full name, business name, and the email address associated with the account. Verbal or non-written cancellations shall not be deemed valid. Client acknowledges that any billing that occurs during the 30-day notice period is non-refundable

3. Service Guarantee and Limitations

The Company guarantees only that it will implement all necessary strategies to obtain approval for the Client’s advertisements on platforms such as Meta and other applicable channels. In the event that an ad account is disabled or specific advertisements are disapproved, the Company will take commercially reasonable efforts to replace the ad account or redesign the advertisements for approval. Client understands and agrees that ad account stability is not fully within the control of the Company and that no additional guarantees are made. The Client expressly waives any expectation of a guaranteed performance beyond what is expressly described herein.

4. Refund Policy

Except as provided in this section, all sales are final, and no refunds shall be issued. A refund may be granted only if, after a minimum of thirty (30) consecutive calendar days of documented effort by the Company, the Client’s ads have not received approval. In such cases, the Client must request the refund in writing via email to [email protected]. Refund requests must be submitted within five (5) business days following the conclusion of the 30-day period. All refund requests shall be reviewed and processed within fourteen (14) business days. No refunds shall be issued after thirty (30) days from the original sign-up date under any circumstances.

5. Chargebacks and Disputes

By enrolling in the Company’s services, the Client irrevocably agrees not to initiate any chargebacks or payment disputes with their credit card issuer, bank, or payment processor under any circumstance, except in cases of proven fraudulent activity on the part of the Company. The Client agrees that any dispute or dissatisfaction must be resolved directly with the Company via [email protected]. This document shall serve as written confirmation of the Client’s consent to these terms and may be presented to any payment processor or legal authority as proof of a mutually agreed-upon transaction. Violations of this provision may result in legal action and recovery of any fees, costs, or damages incurred.

6. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Arizona. Any legal action, claim, or proceeding arising out of or relating to these terms shall be brought exclusively in the courts of competent jurisdiction located in Phoenix, Arizona.

7. Binding Effect and Acknowledgement

By subscribing to and participating in the Company’s services, the Client acknowledges that they have read, understood, and voluntarily accepted all of the terms set forth herein. This agreement shall be binding upon the Client and their successors, assigns, representatives, and agents. This document shall serve as the entire agreement between the Client and BH Strategy, LLC and supersedes all prior agreements, discussions, or understandings.

These Terms & Conditions (“Terms”) govern your access to and use of blackhatstrategy.com (the “Site”) and any services provided by BH Strategy, LLC (“BH Strategy,” “we,” “us,” or “our”), an advertising/marketing agency (the “Services”).

By accessing the Site, submitting an intake, purchasing Services, paying an invoice, signing any proposal/SOW, or otherwise engaging us, you (“Client,” “you,” “your”) agree to these Terms.

1) Scope of Services

We provide advertising and marketing services that may include strategy, campaign setup, media buying, optimization, creative guidance, tracking guidance, consulting, reporting, and related deliverables as described in your order form, proposal, statement of work (“SOW”), onboarding documents, or invoice (collectively, the “Service Agreement”).

Except for the Meta Ad Approval Guarantee in Section 9, BH Strategy does not guarantee performance results (sales, leads, ROAS, CPA, revenue, profit, account stability, etc.).

2) Client Content, Compliance, and Sole Responsibility

2.1 Client Content Responsibility

You are solely responsible for your products/services, offers, claims, creatives, copy, landing pages, websites/domains, and any materials you provide, request, approve, or instruct BH Strategy to use (“Client Content”). You represent and warrant that Client Content is truthful, not misleading, lawful in all jurisdictions you target, and that you have all rights to use it.

2.2 No Legal Advice / No Compliance Responsibility

BH Strategy does not provide legal advice. You are solely responsible for compliance with all applicable laws and regulations (including but not

limited to FTC/FDA rules, consumer protection laws, privacy laws, CAN-SPAM/TCPA, and any industry-specific requirements) and all platform policies.

2.3 You Approve What Runs

You are responsible for final review and approval of Client Content before launch and throughout the engagement. Your approvals/instructions (email, Slack, text, call, PM tools) authorize BH Strategy to run campaigns as directed.

3) Third-Party Platforms and Tools

Services may involve third-party tools and platforms. For purposes of the Meta Ad Approval Guarantee, “Meta” means Facebook/Instagram advertising platforms and related Meta systems. We are not liable for outages, algorithm changes, policy changes, reporting discrepancies, or platform enforcement actions—except for the refund remedy in Section 9 if its conditions are met.

4) Payments and Fees

You agree to pay all fees as stated in the Service Agreement or invoice. You are responsible for all taxes and any third-party costs (including ad spend), unless otherwise stated in writing.

5) PROHIBITED CHARGEBACKS / REQUIRED DISPUTE PROCESS

5.1 No Chargebacks / No Payment Disputes

To the fullest extent permitted by law, you agree not to initiate any chargeback, bank reversal, card dispute, PayPal dispute, or payment processor dispute for any payment made to BH Strategy.

5.2 Required Resolution Process

If you have a billing or service concern, you must notify us in writing at [email protected] within 7 days of the issue arising and cooperate in good-faith resolution before pursuing any external dispute.

5.3 Chargeback = Material Breach

If you initiate a chargeback/dispute, it is a material breach of these Terms. BH Strategy may immediately suspend/terminate Services, and you agree to pay all chargeback fees, administrative costs, collection costs, and reasonable attorneys’ fees incurred. Any reversed amounts remain due and payable.

6) Confidentiality

You agree not to disclose BH Strategy’s confidential information, including internal SOPs, methods, templates, vendor lists, and processes.

7) Intellectual Property

Client retains ownership of Client Content. BH Strategy retains ownership of its pre-existing tools, templates, SOPs, know-how, and processes. You grant BH Strategy a limited license to use Client Content to perform Services.

8) Termination

Either party may terminate per the Service Agreement. BH Strategy may suspend/terminate immediately for non-payment, policy/legal risk, illegal or misleading content, non-cooperation, or breach of these Terms. You remain responsible for fees owed through termination and any non-cancellable third-party commitments you authorized.

9) META AD APPROVAL GUARANTEE + REFUND POLICY

This Section 9 governs refunds.

9.1 Meta-Only Guarantee

If your Service Agreement includes the “Meta Ad Approval Guarantee” (the “Guarantee”), BH Strategy guarantees that at least one (1) advertisement will be approved on Meta within the Guarantee Period, provided you meet all Client Requirements in Section 9.3 and the Guarantee is not voided under Section 9.4.

“Approved” means Meta’s interface shows the ad as Approved / Active / Eligible (or equivalent non-rejected approval status) at the time approval is obtained.

This Guarantee applies to Meta only (Facebook/Instagram). No other platforms are included.

9.2 Guarantee Period = 30 Days From Initiating Service

The Guarantee Period is 30 calendar days from Initiating Service.

“Initiating Service” means the earliest of:

  • the date BH Strategy receives your first payment for Services; or

  • the date BH Strategy provides your onboarding/initial access request; or

  • the date BH Strategy begins work (strategy, setup, creative briefs, account configuration).

Pause for Client Delays

If you do not meet Client Requirements (Section 9.3), the Guarantee Period is paused for the duration of the delay and resumes when the requirement is satisfied.

9.3 Client Requirements (Must Be Met)

The Guarantee applies only if you:

  1. Provide all required access (Meta Business Manager/ad account, Page, Pixel, domain access if needed) within 48 hours of request;

  2. Provide requested assets/info (logos, creatives, offer details, disclaimers, landing page access, verification docs if needed) within 48 hours of request;

  3. Respond to approvals/questions within 24 hours during launch attempts;

  4. Do not provide illegal, misleading, infringing, or policy-violating Client Content;

  5. Do not change key campaign elements or disable tracking/payment methods without written approval;

  6. Maintain an active, functional ad account/payment method and complete any Meta verifications requested.

9.4 What Voids the Guarantee

The Guarantee is void if:

  1. You insist on running content/claims that violate Meta policies or applicable law;

  2. Your website/landing page contains prohibited content, deceptive practices, missing disclosures, broken elements, or policy violations;

  3. You refuse required edits necessary to attempt approval;

  4. You are unresponsive or delay access/assets beyond timelines above;

  5. You initiate a chargeback/dispute at any time;

  6. You engage in fraud, misrepresentation, or behavior that triggers Meta integrity enforcement.

9.5 Sole Remedy: Service Fee Refund Only

If BH Strategy does not obtain at least one Meta approval within the Guarantee Period and you met the Client Requirements, your sole and exclusive remedy is a refund of BH Strategy service fees actually paid for the guaranteed portion of the Services (the “Approval Refund”).

Not refundable: ad spend, Meta charges, third-party software/tools, creative production costs, contractors, platform fees, bank/Wise fees, or any costs not paid directly to BH Strategy as service fees, unless expressly stated in writing.

9.6 Refund Request Process

To request an Approval Refund, you must email [email protected] within 7 days after the Guarantee Period ends with:

  • your business name and invoice(s), and

  • confirmation you met Client Requirements, and

  • access/screenshots sufficient for BH Strategy to verify that no approvals were obtained.

If verified, BH Strategy will issue the Approval Refund within a reasonable time to the original payment method where possible.

9.7 No Other Refunds

Except for the Approval Refund above, all fees are non-refundable, including fees for time already spent, work already performed, or deliverables already provided. No refunds are provided for performance outcomes.

10) Indemnification (Client Protects BH Strategy)

You agree to defend, indemnify, and hold harmless BH Strategy, LLC and its owners, employees, contractors, and agents from any claims, damages, liabilities, penalties, fines, investigations, losses, costs, and expenses (including reasonable attorneys’ fees) arising from:

  • your products/services;

  • Client Content and advertising claims;

  • any alleged violation of law, regulation, or Meta policies related to your business/content;

  • any third-party dispute (consumers, competitors, regulators, platforms);

  • your instructions to publish/run content.

11) Disclaimer of Warranties

The Site and Services are provided “AS IS” and “AS AVAILABLE.” BH Strategy disclaims all warranties to the fullest extent permitted by law.

12) Limitation of Liability

To the fullest extent permitted by law:

  • BH Strategy is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits/revenue, reputational harm, or business interruption.

  • BH Strategy’s total liability for any claim will not exceed the service fees you paid BH Strategy in the 30 days preceding the event giving rise to the claim.

13) Governing Law; Venue

These Terms are governed by Arizona law. Venue (if not arbitrated) is state or federal courts in Maricopa County, Arizona.

14) Changes to These Terms

We may update these Terms by posting an updated version on the Site. Continued use of the Site or Services constitutes acceptance.
